Job Description:

Paralegal / Legal Assistant who reports to the Company’s General Counsel and supports the Company’s Law Group by interacting and liaising with various persons and groups within the Company (both domestic and foreign) and outside the Company, including, external foreign counsel, statutory corporate secretaries, and advisors. Core responsibilities include:

  • completion of insurance renewal applications
  • preparation of documents to effect shareholders’ and directors’ annual meetings of the Company’s foreign subsidiaries
  • responding to UBO and KYC compliance requests (both domestic and foreign)
  • preparation of corporate resolutions and unanimous written consents to effect capital contributions and distributions among the Company and its subsidiaries (both domestic and foreign)
  • formulation of quarterly and year-end reports tracking inter-company capitalizations and distributions for reporting to the Company’s Tax Group
  • filing documentation with various governmental authorities to effect domestic formations, qualifications, withdrawals, name registrations, and UCC financing statements
  • preparation of corporate resolutions and officer’s certificates to effect bank account openings and signatory changes (both domestic and foreign)
  • review of leases to create profiles for managing the Company’s real estate leases within its electronic document management system (On Base)
  • manage records associated with legal and compliance filings
  • Gather and analyze data internally and externally in order to respond to various inquiries
  • provision of administrative support to the Chief Executive Officer, including coordinating meetings, maintaining schedules, travel arrangements, etc.


Qualifications:

Required:

  • Strong oral and written communication skills and the ability to communicate with individuals at all levels of the organization
  • Organized, resourceful professional with an attention to details and commitment to meeting deadlines
  • Flexible, resilient work style with the ability to shift priorities
  • Positive, collaborative attitude
  • Critical thinking skills and curiosity
  • Proficiency with Microsoft Office Suite (Excel, Word, PowerPoint, Teams)
  • 4-6+ years previous paralegal / legal assistant experience


Preferred:

  • Corporate legal department experience
  • Paralegal degree and/or certificate from an accredited program, a Bachelor’s degree or an Associate’s degree
